Terms of Service

These Terms of Service ("Terms") govern the use of onivor.com and engagement with Onivor for services. By using the website or purchasing services, the user ("Client") agrees to these Terms.
1) Services and Proposals
Onivor provides productized web and software services. Specific deliverables, scope, timeline, and pricing are defined in a written proposal, statement of work, or invoice ("Proposal"). If there is a conflict between these Terms and a Proposal, the Proposal controls for that project.
2) Fixed Scope, Audit, and Scope Lock
Packages are fixed-scope by design. Before work begins, Onivor may conduct a short audit to confirm requirements. The final scope and a single fixed price are locked in the Proposal. Any work outside the locked scope requires a change request (Section 6).
3) Communication
Primary coordination may occur via WhatsApp and email. The Client agrees to provide timely feedback, decisions, and required access so delivery can proceed as scheduled.
4) Client Responsibilities
The Client is responsible for:
- Providing accurate requirements and necessary content (text, images, brand assets) unless content creation is included in the Proposal
- Providing access to hosting, domain, DNS, analytics, and third-party services when required
- Providing API keys and accounts for integrations
- Reviewing deliverables and giving feedback within the agreed review window
Delays in approvals, content, or access can shift timelines.
5) Payments
Unless stated otherwise in the Proposal:
- 50% deposit is required to start.
- 50% balance is due upon completion and before final handover (repo transfer, production deployment, or release of final assets).
Onivor may pause work for overdue payments.
6) Revisions vs Change Requests
A. Revisions (within scope)
Revisions are adjustments within the locked scope (minor UI polish, copy placement, small layout refinements) and are included as defined in the Proposal.
B. Change Requests (out of scope)
Any new feature, new page/module, new integration, or expanded requirements are a change request. Change requests require a separate quote and may affect timeline and cost.
7) Acceptance and Delivery
Delivery occurs when Onivor provides the agreed deliverables (such as repo access, build artifacts, deployment, and documentation) as defined in the Proposal. Unless otherwise stated:
- The Client has 7 days to review deliverables and report material issues.
- If no issues are reported within the review window, deliverables are deemed accepted.
8) Intellectual Property (IP) and Ownership
Upon full payment:
- The Client owns the project-specific deliverables created for the Client under the Proposal.
- The Client receives access to project repositories and handover materials as defined in the Proposal.
Onivor retains ownership of:
- Pre-existing materials, frameworks, templates, internal tools
- Generic utilities and reusable components that are not client-specific
The Client receives a perpetual license to use any included reusable components as part of the delivered project.
9) Confidentiality
Both parties agree to keep non-public project information confidential and use it only for project delivery, unless disclosure is required by law or authorized in writing.
10) AI Tools
Onivor may use AI tools to accelerate internal workflows with human review. The Client can request a "no external AI tools" workflow during the audit or onboarding, subject to feasibility and scope. Sensitive data should be minimized and shared only when necessary for delivery.
11) Third-Party Services
Projects may rely on third-party services (hosting, payment gateways, messaging providers, analytics). Unless explicitly included in the Proposal:
- Third-party fees are paid by the Client
- Availability and changes to third-party services are outside Onivor control
12) Support and Maintenance
Ongoing support, maintenance, and monitoring are not included unless specified in the Proposal or a separate support retainer. Post-launch requests may be quoted separately.
13) Limited Warranty and Bug Fix
Unless otherwise stated in the Proposal:
- A limited bug-fix window of 14 days may apply to defects in the delivered scope.
- A "bug" means behavior that does not match the agreed acceptance criteria in the Proposal.
This does not cover:
- New features or enhancements
- Third-party outages or policy changes
- Issues caused by Client changes after handover
- Content or configuration not provided by Onivor
14) Limitation of Liability
To the maximum extent permitted by law:
- Onivor is not liable for indirect, incidental, special, consequential, or punitive damages.
- Onivor total liability for any claim is limited to the fees paid under the applicable Proposal.
15) Termination
Either party may terminate a project in writing.
- If the Client terminates, the deposit is non-refundable and the Client must pay for work completed to date based on agreed milestones or proportional progress under the Proposal.
- If Onivor terminates due to Client non-payment or breach, Onivor may suspend access and deliverables until obligations are fulfilled.
16) Governing Law
These Terms are governed by the laws of the Republic of Indonesia. Any disputes will be resolved in the courts of Indonesia, unless the Proposal specifies otherwise.
